1. Acceptance of Terms
By accessing or using the PostWork platform (the "Platform"), including our website at postworkinc.com and any associated mobile applications, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and PostWork Inc. ("PostWork," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Platform.
We reserve the right to update or modify these Terms at any time. We will notify registered users of material changes via email or through the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. The most current version of these Terms will always be available at postworkinc.com/terms.
2. Description of Services
PostWork is an online labor marketplace that connects employers ("Employers") with job seekers and workers ("Workers"). The Platform facilitates job postings, applications, workforce management, scheduling, and payment processing between Employers and Workers.
PostWork acts solely as a technology intermediary and marketplace facilitator. PostWork is not an employer of any Worker using the Platform, nor is PostWork a staffing agency. Workers on the Platform may be classified as independent contractors or employees depending on the nature of their engagement with a specific Employer. It is the sole responsibility of the Employer to ensure proper worker classification in compliance with applicable federal, state, and local laws.
3. User Accounts and Registration
To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You must be at least 18 years of age to create an account on PostWork. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is truthful and accurate. PostWork reserves the right to suspend or terminate any account that contains false or misleading information.
Workers must complete identity verification as required by PostWork before accessing certain features, including payment processing. Employers must verify their business identity before posting jobs or accessing subscription features.
4. Employer Terms
Employers who use the Platform to post jobs, manage workers, or access subscription features agree to the following additional terms:
Job Postings: All job postings must be accurate, lawful, and non-discriminatory. Employers may not post jobs that violate any applicable employment laws, including but not limited to the Equal Employment Opportunity Act, the Americans with Disabilities Act, or any applicable state or local anti-discrimination laws. PostWork reserves the right to remove any job posting that violates these requirements.
Worker Classification: Employers are solely responsible for properly classifying workers as employees or independent contractors in accordance with applicable law. PostWork does not provide legal advice regarding worker classification and shall not be liable for any misclassification by an Employer.
Payment Obligations: Employers agree to fund worker payments through the Platform as agreed upon in the job posting. Employers authorize PostWork to process payments on their behalf and agree to maintain sufficient funds in their PostWork payment account to cover all worker payments. Failure to fund payments may result in suspension or termination of the Employer's account.
Subscriptions: Employer access to premium features is governed by the subscription tier selected. Subscription fees are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Refunds for subscription fees are not provided except as required by applicable law.
5. Worker Terms
Workers who use the Platform to find work, receive payments, or manage their employment profile agree to the following additional terms:
Profile Accuracy: Workers are responsible for ensuring that all information in their profile, including work history, certifications, skills, and availability, is accurate and up to date. Misrepresentation of qualifications or experience may result in immediate account termination.
Work Obligations: When a Worker accepts a job through the Platform, they are entering into a direct agreement with the Employer. Workers agree to fulfill their work obligations as described in the job posting and any additional terms agreed upon with the Employer. Workers must comply with all applicable workplace safety laws and the Employer's reasonable workplace policies.
Same-Day Pay: PostWork offers same-day payment processing for Workers upon verified completion of a shift. Payment timing is subject to successful shift verification by the Employer and may be affected by banking processing times outside of PostWork's control. PostWork does not guarantee specific payment arrival times.
Independent Contractor Status: Unless otherwise explicitly agreed in writing with a specific Employer, Workers using the Platform are engaged as independent contractors and are responsible for their own taxes, insurance, and benefits. Workers acknowledge that PostWork is not their employer and does not provide employment benefits.
6. Payments and Fees
PostWork uses third-party payment processors, including Stripe, to facilitate payments between Employers and Workers. By using the payment features of the Platform, you agree to the terms and conditions of our payment processors in addition to these Terms.
Workers receive payment for completed work as processed through the Platform. PostWork may charge service fees on transactions, which will be disclosed at the time of the transaction. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Employers are responsible for all applicable taxes related to payments made to Workers. Workers are responsible for reporting and paying all applicable taxes on income received through the Platform. PostWork may issue tax forms (such as 1099-NEC) to Workers who earn above applicable IRS thresholds.
In the event of a payment dispute between an Employer and a Worker, PostWork may, at its sole discretion, temporarily hold disputed funds pending resolution. PostWork's decision in payment disputes is final and binding.
7. Employment Tree and Workforce Management Features
The Employment Tree and other workforce management features are available to Employers with eligible subscription plans. These features allow Employers to visualize and manage their workforce hierarchy, including employee roles, reporting structures, and multi-location teams.
Data entered into the Employment Tree and related workforce management features, including employee names, roles, and organizational structures, is owned by the Employer. PostWork processes this data solely to provide the Platform's services and does not sell or share this data with third parties except as described in our Privacy Policy.
Employers are responsible for ensuring that their use of workforce management features complies with all applicable employment laws, including laws regarding employee monitoring, data privacy, and workplace rights.
8. Prohibited Conduct
You agree not to use the Platform to:
Post fraudulent, misleading, or discriminatory job listings or worker profiles. Circumvent, disable, or interfere with security features of the Platform. Collect or harvest personal information of other users without their consent. Use the Platform to facilitate any illegal activity, including but not limited to wage theft, worker misclassification, or discrimination. Transmit any viruses, malware, or other harmful code. Engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Platform. Use automated tools, bots, or scrapers to access the Platform without PostWork's express written permission. Attempt to gain unauthorized access to any portion of the Platform or any other systems connected to the Platform.
Violation of these prohibitions may result in immediate account suspension or termination and may subject you to civil or criminal liability.
9. Intellectual Property
The Platform and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of PostWork Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Platform without PostWork's express written consent.
Content you submit to the Platform, including job postings, worker profiles, and reviews, remains your property. By submitting content, you grant PostWork a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Platform.
10. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. 11. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. POSTWORK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
POSTWORK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. POSTWORK DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF POSTWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. POSTWORK'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO POSTWORK IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless PostWork Inc., its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; or (e) any content you submit to the Platform.
13. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Platform shall first be subject to informal resolution. You agree to contact PostWork at [email protected] and provide a written description of the dispute before initiating any formal legal proceedings. PostWork will attempt to resolve the dispute informally within 30 days of receiving your notice.
If informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
YOU AND POSTWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
14. Termination
PostWork reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Platform will immediately cease.
You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations.
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution).
